Welcome to the NH Marketplace Affiliate Program! These terms and conditions (the “Agreement”) govern your participation as an affiliate (the “Affiliate”) in the NH Marketplace Affiliate Program (the “Program”). By participating in the Program, you agree to comply with the terms and conditions outlined below.

1. Enrollment in the Program

1.1 To enroll in the Program, you must complete the application process and be accepted by NH Marketplace. Acceptance into the Program is at the sole discretion of NH Marketplace.

2. Commissions

2.1 Commission Rate: Affiliates will earn a 10% commission on qualifying subscription purchases made by referred customers.

2.2 Qualifying Purchases: A qualifying purchase is a subscription made by a referred customer through the NH Marketplace that is not canceled or refunded.

2.3 Commission Calculation: Commissions are calculated based on the net sale amount of the subscription.

3. Payment of Commissions

3.1 Payment Schedule: Commissions will be paid every two weeks.

3.2 Payment Method: Payments will be made via bank transfer. Affiliates must provide accurate bank details during the application process and update them as necessary.

3.3 Minimum Payout Threshold: The minimum payout threshold is 5000 Naira. If the Affiliate’s commission earnings do not meet this threshold, the balance will be carried forward to the next payment period.

3.4 Payment Adjustments: NH Marketplace reserves the right to withhold or adjust commissions for any transactions that are subsequently canceled, refunded, or deemed fraudulent.

3.5 Taxation: Commissions earned through the Program are not subject to tax withholding by NH Marketplace. Affiliates are responsible for complying with their own tax obligations.

4. Responsibilities of the Affiliate

4.1 Promotion: The Affiliate agrees to actively promote NH Marketplace through ethical and legal marketing practices. This includes, but is not limited to, sharing affiliate links on websites, blogs, social media, and email marketing campaigns.

4.2 Compliance: The Affiliate agrees to comply with all applicable laws, regulations, and guidelines, including but not limited to the Federal Trade Commission (FTC) guidelines on endorsements and testimonials.

4.3 Content Restrictions: The Affiliate shall not promote NH Marketplace on websites or platforms that contain any content that is illegal, harmful, threatening, defamatory, obscene, or otherwise objectionable.

4.4 No Spam: The Affiliate shall not engage in any form of spamming, including unsolicited emails or messages, to promote NH Marketplace.

4.5 Brand Representation: The Affiliate shall accurately represent NH Marketplace and its products and services. Misrepresentation or false claims are strictly prohibited.

5. Termination

5.1 Termination by Either Party: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

5.2 Termination for Cause: NH Marketplace reserves the right to terminate the Affiliate’s participation in the Program immediately and without notice if the Affiliate breaches any terms of this Agreement.

5.3 Effect of Termination: Upon termination, the Affiliate will cease all promotion of NH Marketplace and remove all affiliate links from their websites and marketing materials. Commissions earned prior to the termination date will be paid in accordance with the payment schedule, provided the minimum payout threshold is met.

6. Confidentiality

6.1 Confidential Information: The Affiliate agrees to keep all confidential information regarding NH Marketplace and the Program confidential and not to disclose it to any third party without NH Marketplace’s prior written consent.

7. Limitation of Liability

7.1 No Warranties: NH Marketplace makes no express or implied warranties or representations with respect to the Program or any products sold through the Program.

7.2 Limitation of Liability: NH Marketplace shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate’s participation in the Program.

8. Indemnification

8.1 Indemnification: The Affiliate agrees to indemnify, defend, and hold harmless NH Marketplace, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with the Affiliate’s participation in the Program or breach of this Agreement.

9. Governing Law and Dispute Resolution

9.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which NH Marketplace is headquartered, without regard to its conflict of law principles.

9.2 Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the jurisdiction where NH Marketplace is headquartered.

10. Miscellaneous

10.1 Amendments: NH Marketplace reserves the right to amend or modify this Agreement at any time. Notice of any amendments will be provided to the Affiliate, and continued participation in the Program constitutes acceptance of the amended terms.

10.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

10.3 Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced to the fullest extent permissible under law.

By participating in the NH Marketplace Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
